PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING NEAR MOBILE SWAP, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Peersyst Technology ("we," "us," or "our") governing your access to and use of the NEAR Mobile Swap website and application (the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

2. Description of the Service

NEAR Mobile Swap is a non-custodial, front-end web interface that allows you to swap, deposit, and withdraw digital tokens using the NEAR Intents Protocol. The swap functionality is powered by the Aurora Intents Widget, a third-party component provided by Aurora Labs Limited.

You understand and acknowledge that:

  • We provide only the user interface. We do not operate a centralized exchange, process transactions, or custody any assets.
  • All transactions are executed on decentralized blockchain networks and the NEAR Intents Protocol, which are not operated by us.
  • We do not control, and are not responsible for, the underlying blockchain protocols, smart contracts, solvers, or liquidity pools.
  • You interact directly with decentralized protocols through your own wallet.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction;
  • Not be a resident of, or located in, any jurisdiction where use of the Service would be prohibited or restricted by law;
  • Not be subject to any economic sanctions or designated on any prohibited or restricted party lists, including those maintained by the United Nations, the United States (OFAC), the European Union, or the United Kingdom;
  • Have the legal capacity to enter into a binding agreement.

4. Your Wallet and Security

To use the Service, you must connect a compatible cryptocurrency wallet (e.g., NEAR Wallet, MetaMask). You are solely responsible for:

  • Maintaining the security of your wallet, private keys, and seed phrases;
  • All activity that occurs through your connected wallet;
  • Ensuring your wallet is compatible with the Service.

We never have access to your private keys or seed phrases. If you lose access to your wallet, we cannot recover your assets. There is no "forgot password" feature for blockchain wallets.

5. User Responsibilities

When using the Service, you agree to:

  • Use the Service only for lawful purposes and in compliance with all applicable laws and regulations;
  • Not use the Service for money laundering, terrorist financing, fraud, or any other illegal activity;
  • Not attempt to exploit, hack, or compromise the Service or its underlying infrastructure;
  • Not interfere with or disrupt the Service or the servers or networks connected to it;
  • Not use automated tools (bots, scrapers, etc.) to access the Service without our prior consent;
  • Verify all transaction details before confirming any swap, deposit, or withdrawal;
  • Comply with all tax obligations in your jurisdiction arising from your use of the Service.

6. Fees

Using the Service may involve the following fees:

  • Network (gas) fees: Blockchain transaction fees required to process your transactions. These are paid to the network, not to us.
  • Protocol fees: Fees charged by the NEAR Intents Protocol or its solvers. These are determined by the protocol, not by us.
  • Service fees: We may apply a service fee on certain transactions. Any applicable fees will be clearly displayed before you confirm a transaction.

All fees are shown in the transaction preview. By confirming a transaction, you agree to pay all applicable fees.

7. Risks

Using the Service involves significant risks. You acknowledge and accept the following:

7.1 Cryptocurrency Volatility

Digital asset prices are highly volatile and can change rapidly. The value of tokens you swap may fluctuate significantly between the time you initiate and confirm a transaction.

7.2 Smart Contract Risk

Transactions are executed by decentralized smart contracts. Smart contracts may contain bugs, vulnerabilities, or unintended behavior. We do not audit or guarantee the security of any smart contract, protocol, or solver.

7.3 Slippage and Execution Risk

The actual exchange rate you receive may differ from the quoted rate due to market movement, slippage, or solver execution. We do not guarantee best execution, favorable pricing, or immediate settlement.

7.4 Irreversibility

Blockchain transactions are irreversible. Once confirmed, a transaction cannot be cancelled, reversed, or refunded by us or anyone else. Sending tokens to the wrong address may result in permanent loss.

7.5 Regulatory Risk

The regulatory landscape for digital assets is evolving. Changes in law or regulation may affect the availability of the Service or the tokens accessible through it.

7.6 Third-Party Risk

The Service relies on third-party infrastructure, including the Aurora Intents Widget, the NEAR Intents Protocol, blockchain networks, and wallet providers. We are not responsible for the availability, security, or performance of these third-party services.

The Service integrates with and relies on the following third-party services, each of which has its own terms and conditions:

By using the Service, you also agree to the terms and conditions of these third-party services as applicable. We are not a party to any agreement between you and these third-party providers.

9. No Financial Advice

Nothing on the Service constitutes financial, investment, legal, or tax advice. We do not recommend, endorse, or make any representations about any particular token, swap, or trading strategy. You are solely responsible for evaluating the risks and merits of any transaction you make. You should consult with qualified professionals before making any financial decisions.

10. Intellectual Property

The Service, including its design, layout, text, graphics, and code (excluding third-party components such as the Aurora Intents Widget), is owned by or licensed to Peersyst Technology and is protected by applicable intellectual property laws.

You may not:

  • Copy, modify, or distribute any part of the Service without our prior written consent;
  • Use our name, logos, or trademarks without authorization;
  • Reverse engineer, decompile, or disassemble any part of the Service.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, we do not warrant that:

  • The Service will be available at all times or without interruption;
  • The Service will be free of errors, bugs, or vulnerabilities;
  • Any swap will be executed at a specific price or within a specific time;
  • The information displayed on the Service (including prices, balances, and exchange rates) will be accurate, complete, or current;
  • Third-party services (including the Aurora Intents Widget and blockchain networks) will function correctly.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEERSYST TECHNOLOGY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

This limitation applies to, but is not limited to, damages arising from:

  • Loss of digital assets due to smart contract failures, protocol bugs, or blockchain network issues;
  • Unauthorized access to your wallet;
  • Price slippage, unfavorable exchange rates, or failed transactions;
  • Downtime or unavailability of the Service or third-party infrastructure;
  • Actions taken by third-party service providers (Aurora Labs, wallet providers, solvers, etc.);
  • Errors in pricing, balance, or other displayed information.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount of service fees, if any, paid by you to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Peersyst Technology and its affiliates, directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any third party's rights;
  • Any dispute between you and any third party arising from your use of the Service.

14. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

The Service may be temporarily unavailable due to maintenance, upgrades, or factors beyond our control (including blockchain congestion, third-party service outages, or force majeure events).

15. Termination

We may restrict or terminate your access to the Service at any time, for any reason, including if we reasonably believe you have violated these Terms or engaged in prohibited activity.

You may stop using the Service at any time by disconnecting your wallet and ceasing to access the website.

Upon termination, all provisions of these Terms that by their nature should survive (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall remain in effect.

16. Blockchain Transparency

You acknowledge that:

  • All transactions executed through the Service are recorded on public blockchains and are permanently and publicly visible;
  • Your wallet address, transaction amounts, and token types are publicly accessible;
  • This on-chain data cannot be deleted, modified, or hidden by us or anyone else;
  • You are responsible for any privacy implications of conducting transactions on public blockchains.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved amicably within thirty (30) days, it shall be submitted to the competent courts of Barcelona, Spain.

To the fullest extent permitted by law, you waive any right to participate in any class, collective, or representative proceeding.

18. Changes to These Terms

We may update these Terms from time to time. Changes will be indicated by updating the "Last Updated" date at the top of this page. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree with any changes, you must stop using the Service.

19. Severability

If any provision of these Terms is held to be unenforceable or invalid, it shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Peersyst Technology regarding your use of the Service and supersede all prior agreements or understandings.
